WINNER INDUSTRIAL CHEMICALS  DISTRIBUTOR APPLICATION/ POLICY

1. Winner agrees to provide our brand of products at a wholesale  rate to people/companies that we acknowledge as authorized distributors.
2. All orders will be prepaid by credit card ,debit card or check and will be shipped upon receipt of funds into our account.
3. 1%  transaction fee for  American Express Cards
4. All orders must be faxed  or emailed  in order to prevent shipping mistakes.

1. All aerosol /towel combinations in the amount of $1500.00 wholesale in California or more shipped to one location will ship free of charge.
2. All bulk chemicals of $3000.00 wholesale will ship free to one location in California. Other states will have varying ship free policies.
3. All distributors agree to behave in a manner that is consistent with legality and morality. Any distributor that is found guilty of doing anything that might stain the Winner reputation  will be found to be in breach of our agreement.
4. Winner reserves the right to terminate distributor /supplier relationship for any or no reason at its discretion.
5. All distributors to be considered active must order a minimum of $1000.00 every 90 days.
6. Winner does not assign territories . However, we do support the protected accounts theory meaning we will not sell directly to any of our active distributors accounts. We will however courteously and professionally field any client calls or inquiries on your behalf.
7. Furthermore , in the unlikely  event that another distributor sells your account within a 6 month period of you selling the same acount that will be deemed a split commission between the two distributors.Any further sales to that account unless the 2 distributors enter a written agreement (which must be on file at corporate office ) constitutes the original distributor's commission! 
8. Winner will drop-ship items directly to your customers .However, you will prepay the order at your wholesale price  and your company will  then invoice  your customer.
9. The pricing as viewed on the internet is suggested  . Each distributor will determine whether he will price his products higher or lower. It is however our suggestion that each distributor try to maintain the integrity of our suggested pricing schedule unless there are enormous quantities involved. to justify discounting. 
10. Winner agrees when feasible to refer prospects in our distributors geographic area. However, this is done as a courtesy only.
11. Winner has no responsibility for any  taxes or monies owed to governmental agencies because of revenue earned for sales of our products by agents.
12. Winner provides no insurance of  any type. And as such is not liable for any claims made by distributors or their clients except for a 30 day guarantee of our products .
13. Liability insurance ,medical insurance is acquired  at the discretion of all distributors.
